In accordance with Federal Law of Russian Federation as of 09.07.1999 N 160-FZ "Foreign investments in Russian Federation" foreign individuals and legal entities are entitled to form/register Limited Liability Company, Shareholding Company or Branch/Subsidiary/Representative offices of foreign legal entity. By this the international applicant may choose either 100% foreign ownership or joint Russian ownership.

HOW TO START RUSSIAN COMPANY SETUP
1. Prepare and send to us on email address the following data:

Company name.

Company planned business activities, ( in case of Trading, the list of categories of producs). Up to 30 business activities might be stated, but one main business activity must be highlighted.

Details on the amount of share capital. For LLC minimum share capital equals to 10 000 Russian Ruble.

Company Managing Director details –there must be at least one human director aged at least 16. National passport (s) copy(s) with main page and page with permanent residence data.

Company Chirf Account details- who can be the same person as a company Managing Director and company Shareholder.

Shareholder(s) details – there must be at least one shareholder, who can be the same person as a company Managing Director. National passport (s) copy(s) with main page and page with permanent residence data.
2. Pay 60% in advance, prier preparation of the Foundation Documents by Signia Consulting. The rest 40% must be paid upon the completion of the formation services.
BASIC REQUIREMENTS FOR LLC REGISTRATION IN RUSSIA

All Llc Companies are required to have a Managing Director who might be either a Russian Citizen or Foreign Citizen with valid Russian Work Permit and Russian Work Visa. The standard work permit period issue is 3 month, so during this period Acting (Temporary) Managing Director of Russian nationality should be designated.

All Llc Companies are required to have Chief Accountant, who will file accounting documents to Russian Tax Revenue on the quarterly basis. The Managing Director may act also as Chief Accountant.

Time taken to incorporate a Llc Company is approximately 7 - 10 business days.

All Llc Companies are required to have a Local Registered address (P.O. Box is not allowed). You may avail of our registered office address service.

Minimum incorporation/shareholding capital, deposited at the Russian Bank account is 10,000.00 Rubles.

Minimum number of Company Members/Shareholders is one (1) Member/Shareholder and Maximum -Forty Nine (49) Members/Shareholders. They can be both individuals or companies.
